Terms Of Service
Daniel Kirkwood, trading as Fourth Act Creative Services. Last updated: 20 October 2026
These terms cover two things: any services or products Fourth Act supplies to a Client (sections 1 to 10), and the use of the Fourth Act website (sections 10 to 12). Fourth Act works in partnership with Sonic Labs. Where you buy services from Sonic Labs, Sonic Labs’ own terms apply to that purchase.
1. Definitions
A. “Fourth Act Creative Services / Fourth Act / The Company” means Daniel Kirkwood, a sole trader, trading as Fourth Act Creative Services, including its trading names, acting as the service provider.
B. “The Client” means the person, firm or company to which Fourth Act is providing a service.
C. “The Product” means any service or item supplied under an agreement.
D. “The Event” means the period of time during which Fourth Act is supplying the Product to the Client.
E. “The Website” means fourthact.cc and any pages on it.
F. “Custom Solutions” means any software, website, theme, plugin, script, configuration, control or automation system, documentation or other bespoke technical work that Fourth Act creates or supplies to the Client.
2. Quotations, estimations and invoicing
The Company shall supply the Client with an accurate quote to the Client’s specification. The Client should provide Fourth Act with all information about what services and equipment are required, including the time at which the Product is required. It must be noted:
A. All quotes are an estimate of the final invoicing fee. The amount quoted is binding. However, any additional hours worked, additions or changes to the Product specification not listed on the original quotation will be subject to additional charges upon the final invoice.
B. The Client is not entitled to make any deduction from payment, and Fourth Act has no obligation to supply the Product when the Client is in arrears with any due payment.
C. The Client shall make payments in accordance with the payment terms in section 3 of this document for the Product.
D. If payment is withheld, Fourth Act has the right to refuse service until any outstanding balance has been paid IN FULL.
3. Payment terms
A. 20% of the quotation is required 14 (fourteen) days BEFORE the Event. This fee is non-refundable.
B. 80% of the FINAL quotation fee is required within 30 (thirty) days AFTER the Event.
4. Confirmation
The confirmation becomes a binding contract when Fourth Act has received written confirmation from the Client. This may come in the form of a purchase order, a returned and signed quotation agreement or any other written communication confirming acceptance of the Product with these terms and conditions.
5. Cancellation
In the case of cancellation outside of Fourth Act’s responsibility, the following charges shall apply from the date of cancellation.
A. Less than 48 (forty-eight) hours before the Event: the full amount quoted shall be invoiced as per payment terms.
B. Less than 14 (fourteen) days before the Event: 20% of the amount quoted shall be invoiced as per payment terms.
C. Up to 30 (thirty) days before the Event: no additional charges shall be invoiced.
D. Where the Event has been postponed, Fourth Act may provide a credit note of up to 100% of the cancellation fee.
6. Extent of liability
A. Fourth Act shall not be liable for any loss or damage caused by any person or third party whose assistance The Company may rely upon.
B. Fourth Act does not accept any liability for any loss or damage caused by generated interference which renders equipment unusable by any other third-party supplied equipment, or by proximity to any sources outside Fourth Act’s control.
C. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not allow to be limited or excluded.
7. Equipment loss and damage
A. The Client shall be liable for any loss or damage to any equipment howsoever arising during the Event.
B. For any equipment hired from Fourth Act without a Fourth Act operator (“dry hired”), or where it has been shipped in advance, the Client shall be liable for all loss or damage to the equipment from the moment it has left Fourth Act until it has returned.
C. Where Fourth Act supplies equipment to the Client for the use of participants (such as radio microphones), the Client shall be responsible for issuing and collecting the equipment to and from the participants and must provide staff for that purpose each day.
D. Once all the equipment has been installed, the Client shall ensure that the event areas are secure and not accessed or used for any other purpose by third parties outside the time in which the equipment is being used, and that all equipment can remain in place throughout the Event unless previously agreed.
8. Times and venue
A. The Client shall ensure the venue is available and accessible to Fourth Act within an allotted time, agreed by the Client and Fourth Act, for the setup and removal of all equipment.
B. Fourth Act shall estimate the time needed for setup and arrival before arrival, to make sure the work is done safely, and this time should be shown on the quotation. The Client shall ensure the venue has allowed enough time between bookings for this, so that Fourth Act staff can work in a safe and efficient manner. Failure to do so may incur extra charges.
9. Custom Solutions
A. Unless agreed otherwise in writing, Fourth Act owns all intellectual property in Custom Solutions. This includes code, designs, configurations and documentation, and any tools, methods and know-how that Fourth Act brings to or develops during the work.
B. Once the Client has paid in full, Fourth Act grants the Client a non-exclusive, non-transferable licence to use the Custom Solution for the Client’s own internal business purposes and for the purpose it was supplied for.
C. The Client’s own content and data remain the Client’s. The Client allows Fourth Act to use them as needed to supply the Product.
D. Third-party and open-source components in a Custom Solution remain under their own licences. Those licences apply to those components in place of this section.
10. What you must not do
This section applies to the Client, and to anyone using the Website or a Custom Solution.
A. Do not copy, reproduce, modify, adapt or translate the Website’s code, design or content, or any Custom Solution, or create anything derived from them, except as these terms allow or Fourth Act agrees in writing.
B. Do not reverse engineer, decompile or disassemble the Website or any Custom Solution, or try to obtain its source code, algorithms or structure, except to the extent the law allows and a contract cannot exclude.
C. Do not sell, resell, rent, lease, sublicense, share or distribute a Custom Solution, give a third party access to it, or use it to build a competing product or service.
D. Do not hack, attack or try to gain unauthorised access to the Website, its servers, any account, any Custom Solution or any connected system. This includes probing or scanning for weaknesses, brute-force or denial-of-service attacks, introducing malware, and bypassing any login, licence or security control.
E. Do not scrape or harvest content or data from the Website using bots or other automated tools, other than ordinary search engine indexing.
F. Do not remove or change any copyright, trademark or other ownership notice.
G. Do not use the Website or a Custom Solution unlawfully or in a way that infringes anyone else’s rights.
H. Keep your login details and access keys secure. You are responsible for activity under them. Tell us promptly if you suspect they have been compromised.
I. Unauthorised access to computer systems can be a criminal offence under the Computer Misuse Act 1990, and we may report it. If you break this section, we may suspend access, end any agreement with you and take legal action. Any sums already due remain payable.
J. If you find a security weakness, please email contact@fourthact.cc and allow us reasonable time to fix it before you share it with anyone. We welcome reports made in good faith.
11. The Website
A. The Website gives information about Fourth Act and its work, and links to Sonic Labs.
B. The Website’s content, name, logo and branding belong to Fourth Act or its licensors. You may view the Website, share links to it and quote short extracts with credit. You may not use our name or logo without our written permission.
C. The Website links to other websites, including Sonic Labs. Those sites are run by other organisations. We are not responsible for their content or practices, and their own terms and privacy policies apply to your use of them.

12. General
A. These terms and any agreement under them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
